1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Brieflify platform, website (brieflify.app), applications, APIs, and all related services (collectively, the "Service"), operated by its owners ("we", "us", "our", or "Brieflify").

By accessing, browsing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and references to "you" shall include that organisation.

If you do not agree to these Terms in their entirety, you must not access or use the Service. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.

2. Beta / Early Access Disclaimer

The Service is currently provided in an Early Access / Beta phase. This means the Service is under active development, and its features, functionality, availability, and performance may change significantly and without prior notice.

During this Early Access period:

  • The Service is provided on a strictly "as-is" and "as-available" basis.
  • Features may be added, modified, degraded, or removed at any time without notice.
  • We make no guarantees whatsoever regarding uptime, availability, reliability, or data persistence.
  • Data loss, service interruptions, and breaking changes may occur. You are responsible for maintaining your own backups of any critical data.
  • Performance benchmarks, response times, and throughput may vary substantially during this period.

By using the Service during the Early Access phase, you expressly acknowledge and accept these risks. Your participation in the Early Access programme is entirely voluntary and at your own risk.

3. Account Terms

To use certain features of the Service, you must create an account. When creating and maintaining your account, you agree to the following:

  • You must be at least 18 years of age to create an account and use the Service.
  • You must provide accurate, complete, and current information during registration and keep your account information up to date at all times.
  • Each account is for a single individual. Sharing login credentials or account access with others is prohibited unless explicitly authorised through team or organisation features provided by the Service.
  • You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password and any API keys associated with your account.
  • You are responsible for all activities that occur under your account, whether or not you authorised those activities.
  • You must notify us immediately at support@brieflify.info if you become aware of any unauthorised access to or use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. AI-Generated Content Disclaimer

Important — Please Read Carefully

The Service uses artificial intelligence ("AI") models to process user input and generate outputs including, but not limited to: meeting summaries, decisions, recommendations, risk assessments, compliance guidance, specifications, project plans, analysis, action items, and other content (collectively, "AI-Generated Content").

All AI-Generated Content is provided for informational and reference purposes only.

AI-Generated Content does NOT constitute professional advice of any kind. Without limitation, AI-Generated Content does not constitute:

  • Legal advice or legal opinion
  • Financial, investment, or tax advice
  • Medical or health-related advice
  • Regulatory compliance certification or audit
  • Engineering, architectural, or safety certification
  • Any other form of professional counsel, guidance, or certification

AI-Generated Content may contain errors, inaccuracies, omissions, hallucinations, or outdated information. AI models are inherently imperfect and probabilistic. They may produce different results for the same input on different occasions and can generate plausible-sounding but factually incorrect information ("hallucinations"). The quality, accuracy, and completeness of AI-Generated Content cannot be guaranteed.

You MUST:

  • Independently verify all AI-Generated Content before relying on it for any purpose, including but not limited to business decisions, legal compliance, financial planning, or operational changes.
  • Consult qualified professionals — including but not limited to lawyers, accountants, financial advisors, engineers, medical practitioners, and regulatory specialists — for any matters requiring professional expertise.
  • Treat any compliance, regulatory, or legal information generated by the AI as indicative guidance only, which does not replace formal compliance assessment, audit, or certification by qualified professionals.
  • Exercise your own independent judgement in all decisions influenced by AI-Generated Content.

The operators of the Service accept no liability whatsoever for any losses, damages, costs, or expenses arising from or related to decisions made, actions taken, or reliance placed on AI-Generated Content. You use AI-Generated Content entirely at your own risk.

By using the Service, you acknowledge that you understand the limitations of AI technology and accept full responsibility for how you use, interpret, and act upon AI-Generated Content.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not, and shall not permit any third party to:

  • Use the Service for any purpose that is unlawful, fraudulent, or prohibited by these Terms or applicable law.
  • Attempt to manipulate, abuse, or exploit the AI features of the Service, including but not limited to prompt injection, jailbreaking, or attempting to circumvent safety filters or usage limits.
  • Use automated scripts, bots, crawlers, scrapers, or similar means to access the Service or extract data from it without our prior written consent.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying models of the Service.
  • Resell, sublicense, redistribute, or commercially exploit the Service or any part thereof without our express written authorisation.
  • Use the Service to generate content that is illegal, defamatory, harassing, threatening, hateful, or that infringes the intellectual property rights of any third party.
  • Transmit viruses, malware, or any other malicious code through the Service.
  • Interfere with or disrupt the integrity or performance of the Service, its servers, or connected networks.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

We reserve the right to investigate and take appropriate action against any violation of this section, including suspension or termination of your account and referral to law enforcement authorities where applicable.

6. Data and Content Ownership

You retain all ownership rights in and to the content, data, and materials you submit, upload, or input into the Service ("User Content"). Brieflify does not claim ownership over your User Content.

By using the Service, you grant Brieflify a limited, non-exclusive, worldwide, royalty-free licence to access, process, store, and transmit your User Content solely as necessary to provide, maintain, and improve the Service, including processing your content through AI models to generate outputs you have requested.

We will not sell your User Content to third parties, use it to train AI models, or share it beyond what is necessary to operate the Service. Our handling of your data is further described in our Privacy Policy.

You represent and warrant that you have all necessary rights and permissions to submit your User Content to the Service and to grant the licences described herein. You are solely responsible for the legality, reliability, and appropriateness of your User Content.

7. Payment and Billing

Certain features of the Service are available through paid subscription plans. By subscribing to a paid plan, you agree to the following:

  • Billing cycles: Paid plans are billed either monthly or annually, as selected at the time of purchase. Your subscription will automatically renew at the end of each billing cycle unless cancelled beforehand.
  • No partial refunds: No refunds or credits will be issued for partial months of service, downgrade refunds, or unused portions of a billing period.
  • Price changes: We may change our pricing at any time. For existing subscribers, we will provide at least 30 days' written notice before any price increase takes effect. Your continued use of the Service after a price change constitutes acceptance of the new pricing.
  • AI token budgets: Paid plans include a monthly AI budget measured in tokens or credits. These credits are consumed as you use AI-powered features and reset at the start of each billing cycle. Purchased top-up credits do not expire and carry over between billing cycles until used.
  • Payment processing: All payments are processed by our third-party payment provider. By providing your payment information, you authorise us to charge the applicable fees to your chosen payment method.
  • Failed payments: If a payment fails, we may suspend access to paid features until the outstanding balance is resolved.

8. Service Modifications

We reserve the right to modify, update, suspend, or discontinue any part of the Service (including any features, functionality, content, or interfaces) at any time, with or without notice, and without liability to you.

This right is particularly applicable during the Early Access / Beta period, during which the Service is subject to rapid iteration and change. Features available today may be altered or removed in future versions.

We will make reasonable efforts to provide advance notice of significant changes where practicable, but we are under no obligation to do so. Your continued use of the Service following any modifications constitutes your acceptance of those modifications.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory. We expressly disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and any warranties arising out of course of dealing or usage of trade.

Without limiting the foregoing, we do not warrant that: (a) the Service will meet your requirements or expectations; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results or outputs obtained from the Service (including AI-Generated Content) will be accurate, reliable, or complete; or (d) any errors in the Service will be corrected.

In no event shall Brieflify, its owners, operators, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for loss of profits, revenue, goodwill, data, or other intangible losses, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the total amount you have actually paid to Brieflify in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred South African Rand (ZAR 100), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the fullest extent permitted by applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Brieflify, its owners, operators, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of or access to the Service.
  • Your User Content or any content you submit, post, or transmit through the Service.
  • Your violation of these Terms or any applicable law or regulation.
  • Your violation of the rights of any third party, including intellectual property, privacy, or contractual rights.
  • Any decisions, actions, or omissions made in reliance upon AI-Generated Content provided by the Service.

This indemnification obligation shall survive the termination of these Terms and your use of the Service.

11. Termination

Either party may terminate this agreement at any time. You may terminate your account by contacting us at support@brieflify.info or through the account settings within the Service.

We may suspend or terminate your account and access to the Service, in whole or in part, at our sole discretion, at any time and without prior notice, for any reason, including but not limited to:

  • Violation of these Terms or any applicable law.
  • Conduct that we reasonably believe is harmful to the Service, other users, or third parties.
  • Non-payment of applicable fees.
  • Extended periods of account inactivity.
  • Discontinuation of the Service or any part thereof.

Upon termination: (a) your right to access and use the Service ceases immediately; (b) we may delete your account data in accordance with our data retention policies; and (c) any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa.

The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make material changes, we will update the "Last updated" date at the top of this page and may, at our discretion, provide additional notice (such as an in-app notification or email to the address associated with your account).

It is your responsibility to review these Terms periodically for changes. Your continued use of the Service after any revisions become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if such modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

The failure of Brieflify to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

These Terms, together with the Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and Brieflify with respect to the Service and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Service.
